2. Account Registration and Access

2.1 Manufacturer Accounts

To access the RepBot dashboard, Manufacturers must register for an account by providing accurate and complete business information. Manufacturers are responsible for maintaining the confidentiality of their account credentials and for all activity that occurs under their account. You agree to notify us immediately of any unauthorized use of your account.

2.2 Dealer Access

Dealers access the RepBot self-service portal using a unique PIN assigned by their Manufacturer. Dealers are responsible for keeping their PIN confidential. Manufacturers are responsible for the accuracy of dealer information uploaded to the platform and for ensuring dealers are authorized to access the portal.

2.3 Eligibility

RepBot is intended for use by business entities and their authorized representatives. By using RepBot, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

3. Subscription and Payment

3.1 Subscription Plans

Access to the RepBot manufacturer dashboard is provided on a subscription basis. Subscription plans, pricing, and features are as described on the RepBot website at the time of purchase. We reserve the right to modify subscription plans and pricing with reasonable advance notice to existing subscribers.

3.2 Billing

By subscribing to RepBot, you authorize us to charge your designated payment method on a recurring basis in accordance with your selected subscription plan. All fees are due in advance and are non-refundable except as expressly stated herein. You are responsible for keeping your billing information current and accurate.

3.3 Failed Payments

If a payment fails, we reserve the right to suspend or terminate your access to RepBot until payment is received. We will make reasonable efforts to notify you of a failed payment before taking such action.

3.4 Cancellation

You may cancel your subscription at any time by contacting us. Upon cancellation, your access will continue through the end of your current billing period. We do not provide refunds for unused portions of a subscription period.

4. Acceptable Use

You agree to use RepBot only for lawful purposes and in accordance with these Terms. You agree not to:

• Use RepBot in any way that violates applicable federal, state, local, or international law or regulation
• Upload, transmit, or distribute any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
• Attempt to gain unauthorized access to any portion of the platform or any other systems or networks connected to RepBot
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying technology of RepBot
• Use RepBot to transmit spam, unsolicited communications, or any form of automated data collection not authorized by Dealer Self Services
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Share your account credentials or dealer PIN with unauthorized individuals
• Use RepBot in any manner that could damage, disable, overburden, or impair the platform

5. Content and Intellectual Property

5.1 Our Intellectual Property

RepBot, including its software, design, AI models, features, and all content created by Dealer Self Services, is the exclusive property of Dealer Self Services and is protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in RepBot or its underlying technology.

5.2 Your Content

Manufacturers retain ownership of the content they upload to RepBot, including training materials, documents, FAQs, and dealer data. By uploading content to RepBot, you grant Dealer Self Services a limited, non-exclusive license to store, display, and process that content solely for the purpose of providing the RepBot service to you.

5.3 Content Standards

You are solely responsible for the accuracy, legality, and appropriateness of all content you upload to RepBot. You represent and warrant that you have all necessary rights to upload such content and that it does not infringe the intellectual property rights of any third party.

6. AI-Generated Content

RepBot uses artificial intelligence to generate responses, training content, and dealer support interactions. You acknowledge that:

• AI-generated content may not always be accurate, complete, or appropriate for every situation
• Dealer Self Services does not warrant the accuracy or reliability of AI-generated responses
• AI-generated content is provided for informational and support purposes only and does not constitute professional, legal, financial, or business advice
• Manufacturers are responsible for reviewing and approving the accuracy of AI-generated content within their RepBot configuration before making it available to dealers

7. Disclaimers

REPBOT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DEALER SELF SERVICES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that RepBot will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant that the results obtained from use of RepBot will be accurate or reliable.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEALER SELF SERVICES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE REPBOT, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF DEALER SELF SERVICES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF REPBOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO DEALER SELF SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Dealer Self Services and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of RepBot in violation of these Terms; (b) your content uploaded to RepBot; (c) your violation of any applicable law or regulation; or (d) any dispute between you and a dealer or other third party in connection with your use of RepBot.

10. Termination

We reserve the right to suspend or terminate your access to RepBot at any time, with or without notice, for any reason, including but not limited to a violation of these Terms, non-payment of subscription fees, or conduct that we determine to be harmful to other users or to Dealer Self Services.

Upon termination, your right to access RepBot will immediately cease. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of RepBot shall be resolved exclusively in the state or federal courts located in Alabama, and you consent to the personal jurisdiction of such courts.

Before initiating any legal action, the parties agree to attempt in good faith to resolve any dispute through informal negotiation. Either party may initiate this process by providing written notice to the other party describing the dispute in reasonable detail.

12. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the effective date at the top of this document and, where appropriate, notify active subscribers by email. Your continued use of RepBot after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of RepBot.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dealer Self Services with respect to your use of RepBot and supersede all prior agreements, understandings, and representations relating to the subject matter herein. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
